Terms of Service

Welcome to Centage. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Centage Trading LLC (“Centage,” “we,” “us,” or “our”), a Texas limited liability company. By creating an account, accessing, or using the Centage web application located at centagetrading.com and all related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE. YOUR CONTINUED USE OF THE SERVICE AFTER ANY MODIFICATIONS TO THESE TERMS CONSTITUTES ACCEPTANCE OF SUCH MODIFICATIONS.
1. ACCOUNT ELIGIBILITY
To create an account and use the Service, you must meet all of the following requirements:
- You must be at least 18 years of age. Centage is intended solely for adults who are legally permitted to engage in financial trading activities.
- You must be a resident of the United States. The Service is currently offered exclusively to users located within the fifty (50) United States and the District of Columbia.
- You must have the legal capacity to enter into a binding contract under applicable law.
- You must not be prohibited from using the Service under any applicable law, regulation, or court order.
- You must not have had a prior Centage account terminated for violation of these Terms.
By creating an account, you represent and warrant that you satisfy all eligibility requirements. Centage reserves the right to verify your eligibility at any time and to suspend or terminate any account that does not meet these requirements.
2. ACCOUNT REGISTRATION AND SECURITY
To access the Service, you must register for an account by providing a valid email address and creating a password. You represent that all registration information you provide is accurate, current, and complete, and you agree to keep this information updated.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Choose a strong, unique password and not share it with any third party.
- Notify Centage immediately at info@centagetrading.com of any unauthorized access to or use of your account.
- Log out of your account after each session when using shared devices.
Centage is not liable for any loss or damage arising from your failure to maintain account security or from unauthorized use of your account.
3. DESCRIPTION OF THE SERVICE
Centage is a web-based trading dashboard that allows users to connect their brokerage accounts in order to view real-time and historical trade data. The Service is designed to help traders monitor profit and loss (“P&L”), manage risk, track open positions, analyze trading performance, and monitor compliance with prop firm account rules.
The Service includes, among other features:
- A trade data dashboard displaying real-time and historical account information pulled from connected broker accounts.
- A performance analytics suite for reviewing historical trade data, equity curves, and performance statistics.
- A rules engine and automation feature (referred to as “Execute Mode”) that can automatically perform actions on a user's connected broker account based on user-configured rules.
- Journal and note-taking tools for recording trade intentions, ratings, and custom annotations.
- Discipline scoring, challenge tracking, and accountability features.
- Push notification alerts for trade events.
Centage currently supports integration with TradeLocker and will support additional brokers over time. The addition or removal of supported brokers does not constitute a material change to these Terms requiring prior notice unless it affects the core nature of the Service you are receiving.
4. BROKER CONNECTIONS AND THIRD-PARTY INTEGRATIONS
4.1 Connecting Your Broker Account
To use core features of the Service, you must connect one or more brokerage accounts by providing Centage with the credentials or access tokens required by the applicable broker (including, as applicable, your broker login email, server, trading environment, and API access tokens). By providing these credentials, you authorize Centage to access your broker account solely for the purpose of retrieving your trading data and, where you have enabled Execute Mode, executing automated trade actions on your behalf.
4.2 Scope of Access
Centage accesses only the data and functionality within your own broker account that is necessary to provide the Service. Centage does not transfer funds, withdraw money, or modify account settings beyond the trade actions expressly authorized by rules you configure within the Service.
4.3 Broker Affiliation Disclaimer
Centage is not affiliated with, endorsed by, sponsored by, or in a partnership with any broker unless explicitly stated in writing on the Centage website. The names, logos, and trademarks of any brokers displayed within the Service are the property of their respective owners. Centage's ability to connect with any particular broker is subject to that broker's API availability and terms of service.
4.4 User Responsibility for Broker Compliance
You are solely responsible for ensuring that your use of Centage, including your connection of broker accounts and your use of Execute Mode automation, complies with your broker's own terms of service, user agreements, and applicable regulations. Centage makes no representation that the use of the Service is permitted under any particular broker's terms.
4.5 Broker Limitations and Liability
Centage is not liable for: (a) any actions taken or not taken by a broker on your account; (b) broker outages, downtime, or API unavailability; (c) changes by a broker to its API, authentication methods, or data formats; (d) trade execution failures, delays, or errors occurring on the broker's systems; or (e) any loss resulting from a broker's decisions regarding your account. Centage is a software intermediary and does not operate as a broker, dealer, or financial institution.
4.6 Future Broker Integrations
Centage may add or remove supported broker integrations at any time. When new broker integrations are added, these Terms apply in full to those integrations without further notice.
5. EXECUTE MODE — AUTOMATED TRADING ACTIONS
IMPORTANT — PLEASE READ THIS SECTION CAREFULLY. IT DESCRIBES A FEATURE THAT TAKES AUTOMATED ACTIONS ON YOUR LIVE TRADING ACCOUNT.
5.1 What Execute Mode Does
Execute Mode is an optional feature within the Service that allows you to configure rules that, when triggered by market conditions or account metrics, automatically execute one or more of the following actions on your connected broker account:
- Move stop-loss orders on open positions.
- Partially close open positions.
- Trigger a kill switch that closes all open trades on the connected account.
- Any other trade management actions made available through the Service in the future.
These actions are executed on any broker account you have connected to the Service for which Execute Mode is enabled. As Centage adds support for additional brokers, Execute Mode may be available across all supported broker integrations.
5.2 User Responsibility
Execute Mode acts on rules that you, the User, create and configure. You are solely and entirely responsible for:
- The rules you create, including their logic, trigger conditions, and parameters.
- All trade actions taken by Execute Mode as a result of your configured rules.
- All trading outcomes, financial results, and consequences arising from automated execution.
- Monitoring Execute Mode rules and disabling or modifying them as needed.
5.3 No Financial Advice
Centage is a software automation tool only. Centage is not a registered investment adviser, broker-dealer, commodity trading adviser, or financial institution of any kind. Nothing within the Service — including Execute Mode, performance analytics, trade summaries, AI-generated coaching, benchmarks, or any other feature — constitutes financial advice, investment advice, trading advice, tax advice, or a recommendation to buy or sell any security, financial instrument, contract for difference, futures contract, or any other financial product.
You understand that trading involves substantial risk of loss, and that automated execution does not reduce or eliminate that risk. Past performance data displayed within the Service does not guarantee future results.
5.4 Acknowledgment of Risk
By enabling Execute Mode, you expressly acknowledge and agree that:
- You have read and understood Section 5 of these Terms in full.
- You are using Execute Mode entirely at your own risk.
- Centage bears no responsibility for any financial loss, missed trade opportunity, margin call, account drawdown, rule violation, prop firm account breach, or any other consequence resulting from automated execution.
- Technical failures, latency, broker API outages, or network interruptions may cause rules to fail to execute, execute incorrectly, or execute late, and Centage is not liable for any such failures.
6. TRADING RISK DISCLOSURE
TRADING FINANCIAL INSTRUMENTS, INCLUDING FOREIGN EXCHANGE (FOREX), CONTRACTS FOR DIFFERENCES (CFDs), FUTURES, OPTIONS, STOCKS, AND OTHER SECURITIES, INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT APPROPRIATE FOR ALL INVESTORS OR TRADERS.
You should only trade with capital you can afford to lose entirely. The performance data, analytics, metrics, and any other information displayed within the Service are provided for informational purposes only and do not constitute a guarantee of any future result. Historical performance is not indicative of future results.
Centage does not endorse, recommend, or advise any particular trading strategy, instrument, prop firm, or approach. Your trading decisions are entirely your own, and Centage accepts no responsibility for any outcomes resulting from those decisions.
7. SUBSCRIPTIONS AND BILLING
7.1 Subscription Plans
Centage offers the following subscription tiers:
- Free Plan: Access to core dashboard features with trade history limited to the prior 30 days.
- Pro Plan: $24.00 per month. Access to all Pro features, including unlimited trade history access.
- Elite Plan: $39.00 per month. Access to all Elite features, including unlimited trade history access and all premium features.
A complete description of features included in each plan is available on the Centage website and within the Service. Centage reserves the right to modify plan features, with or without changing price, provided that material changes are communicated to existing subscribers with at least 30 days' advance notice.
7.2 Billing and Payment
Paid subscriptions are billed on a monthly basis. Payment processing is handled by Stripe, a third-party payment processor. By subscribing to a paid plan, you authorize Centage and Stripe to charge your payment method on a recurring monthly basis until your subscription is cancelled.
Centage does not store your full payment card number, CVV, or bank account details. All payment data is processed and stored by Stripe in accordance with Stripe's terms and privacy policy.
7.3 Free Trial
Centage may offer free trial periods from time to time. If a free trial is offered, the specific terms and duration will be disclosed at the time of the offer. Unless you cancel before the end of the free trial period, your subscription will automatically convert to a paid subscription and your payment method will be charged.
7.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting info@centagetrading.com. Upon cancellation, your access to paid plan features will continue until the end of your current billing period. Centage does not prorate or refund charges for partial billing periods.
7.5 No Refunds
All charges are non-refundable except as required by applicable law. There are no refunds or credits for partial months of service, unused features, or account downgrades. If you believe a charge was made in error, contact info@centagetrading.com within 30 days of the charge.
7.6 Price Changes
Centage reserves the right to change subscription prices with at least 30 days' advance notice to existing subscribers via email. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.
7.7 Data Access and Plan Tier
Free plan users may access trade history for the prior 30 days through the Service interface. Pro and Elite plan users may access unlimited trade history through the Service interface. Regardless of your subscription tier, Centage retains all historical trading data on its servers in accordance with its data retention practices described in the Privacy Policy.
8. DATA COLLECTION, OWNERSHIP, AND USE RIGHTS
8.1 Data You Provide
By using the Service, you provide or authorize Centage to collect the following categories of data:
- Account credentials (email address and hashed password).
- Broker credentials and access tokens necessary to connect your broker account.
- Trading data pulled from your connected broker accounts, including trade history, open positions, account balance, equity, margin, and P&L.
- Journal entries, trade notes, tags, ratings, intentions, and custom rule configurations you create within the Service.
- Push notification tokens for trade alerts.
- Discipline scores, challenge progress, and accountability partner connection data.
8.2 Your Ownership of Personal Data
You retain ownership of your personally identifiable trading data. Centage does not claim ownership of data that can be traced back to you individually. However, by using the Service, you grant Centage a limited license to store, process, display, and transmit your personal data as necessary to provide the Service.
8.3 Anonymized and Aggregated Data — Centage's Rights
THIS SECTION IS IMPORTANT. PLEASE READ IT CAREFULLY AS IT DESCRIBES THE RIGHTS CENTAGE RETAINS OVER DATA DERIVED FROM YOUR USE OF THE SERVICE.
By using the Service, you grant Centage a perpetual, irrevocable, worldwide, royalty-free license to use, process, analyze, aggregate, and anonymize data derived from your use of the Service — including your trading data, behavioral data, performance metrics, and any other data collected through the Service — for the following purposes:
- Product research, development, and improvement of the Service and related Centage products.
- Generating platform-wide benchmarks and anonymized performance statistics that may be displayed within the Service to allow users to compare their own performance to aggregated platform averages.
- Training, fine-tuning, validating, and operating internal artificial intelligence (AI) and machine learning (ML) models, including but not limited to models that power features such as personalized coaching, pattern recognition, trade analysis, risk assessment, and predictive analytics.
- Licensing or selling anonymized, aggregated trading insights and datasets to third parties, including but not limited to proprietary trading firms, financial data companies, quantitative research institutions, and technology companies. Only data from which all personally identifiable information has been fully removed will be shared or sold in this manner.
The license described in this Section survives account termination and deletion. You understand and agree that data that has been rendered anonymous and aggregated — such that it cannot reasonably be used to identify you as an individual — is not “personal data” for the purposes of these Terms and may be retained and used by Centage indefinitely.
8.4 What We Never Share or Sell
Centage does not sell, rent, share, or disclose your personally identifiable information to third parties for their own marketing or commercial purposes. Any data licensed or sold to third parties under Section 8.3 is anonymized and aggregated and does not include your name, email address, broker credentials, account identifiers, or any other information that could identify you as an individual.
8.5 AI and Machine Learning Features
Centage reserves the right to introduce AI-powered features, including but not limited to personalized trade coaching, pattern recognition, performance benchmarking, and predictive analytics. These features may be powered by models that have been trained in part on anonymized, aggregated data derived from the collective activity of Centage users, including your activity. By accepting these Terms, you consent to your anonymized, aggregated data being used for this purpose.
9. DATA RETENTION AND ACCOUNT DELETION
If you delete your account or request deletion of your personal data, Centage will delete your personally identifiable information — including your email address, broker credentials, and identifiable account records — within 30 days of receiving a verified deletion request.
Following account deletion, anonymized and aggregated data derived from your activity that cannot reasonably be used to identify you as an individual may be retained by Centage indefinitely for the purposes described in Section 8.3. This retained data is not subject to deletion because it does not constitute personal data capable of identifying you.
Centage retains all historical trading data on its servers regardless of the subscription tier through which a user accessed that data. Access to historical data through the Service interface is a feature of paid subscription plans, but the underlying data is retained on Centage's servers independently of plan status.
10. ACCEPTABLE USE
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree that you will not:
- Use the Service to engage in any unlawful trading activity or any activity that violates applicable securities laws, commodities laws, or financial regulations.
- Attempt to gain unauthorized access to any portion of the Service, any other user's account, or any systems or networks connected to the Service.
- Use any automated tools, bots, scrapers, or scripts to access or interact with the Service, except as explicitly permitted by Centage in writing.
- Reproduce, duplicate, copy, sell, resell, or exploit any part of the Service without the express written permission of Centage.
- Introduce malware, viruses, or any other harmful code into the Service.
- Use the Service in any way that could damage, disable, overburden, or impair Centage's infrastructure.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Collect or harvest any personal data from other users of the Service.
Centage reserves the right to investigate and take appropriate legal action against any user who violates this section, including suspending or terminating the user's account without refund.
11. INTELLECTUAL PROPERTY
11.1 Centage's Intellectual Property
The Service and all of its contents, features, and functionality — including but not limited to software, source code, algorithms, design, user interface, graphics, text, logos, trademarks, and compilations — are owned by Centage Trading LLC and are protected by United States copyright, trademark, trade secret, patent, and other intellectual property laws. These Terms do not transfer any intellectual property rights to you.
11.2 Limited License to Use
Subject to your compliance with these Terms, Centage grants you a limited, non-exclusive, non- transferable, revocable license to access and use the Service for your personal, non-commercial trading purposes. This license does not include the right to: (a) sublicense or transfer the Service; (b) reproduce, modify, or create derivative works; (c) reverse engineer, decompile, or disassemble any part of the Service; or (d) commercially exploit the Service or any of its content.
11.3 Feedback
If you submit feedback, suggestions, or ideas to Centage regarding the Service, you grant Centage a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation or compensation to you.
12. THIRD-PARTY SERVICES
The Service utilizes the following third-party services to operate:
- Supabase: Database hosting and authentication services. Centage uses Supabase to store user account data and manage authentication. Supabase is a U.S.-based service provider.
- Vercel: Cloud hosting and serverless function infrastructure. Centage's application is hosted on Vercel's U.S.-based infrastructure.
- Stripe: Payment processing. Stripe handles all payment card transactions. Centage never stores your full payment card number. Stripe operates under its own terms of service and privacy policy.
- Connected Brokers: Centage connects to broker APIs (currently TradeLocker and future brokers) on your behalf to retrieve trading data and, where enabled, execute trade actions. Each broker operates under its own terms and policies.
- Web Push API: Browser push notifications for trade alerts are delivered using the standard Web Push API, which may route through browser vendors' (e.g., Google, Mozilla, Apple) notification infrastructure.
- AI and Machine Learning Providers: In the future, Centage may integrate third-party AI or ML services to power features such as coaching and analytics. Any such providers will be identified in an updated version of these Terms.
Centage is not responsible for the practices, availability, accuracy, or policies of any third-party service. Your use of third-party services is subject to their respective terms of service and privacy policies.
13. COMMUNICATIONS AND EMAIL COMPLIANCE
Centage may send you the following types of email communications:
- Transactional emails: Account-related communications including registration confirmations, password resets, billing receipts, subscription change notifications, and material policy updates. These communications are sent as necessary for the administration of your account and the Service.
- Service notifications: Alerts related to your account activity, security events, or service status.
Centage does not send unsolicited commercial email or marketing messages. All transactional emails sent by Centage will: (a) clearly identify Centage Trading LLC as the sender; (b) include a valid physical postal address; (c) include clear instructions for opting out of non-essential communications where applicable; and (d) honor opt-out requests promptly as required by the CAN-SPAM Act and applicable law.
By creating an account, you consent to receive transactional and account-related communications from Centage at the email address associated with your account.
14. COOKIES AND TRACKING TECHNOLOGIES
Centage uses session cookies solely for the purpose of maintaining your authenticated session within the Service. Session cookies are temporary and are deleted when you close your browser.
Centage does not use third-party advertising cookies, tracking pixels, or cross-site behavioral tracking technologies. Centage does not engage in behavioral advertising.
15. PRIVACY
Your use of the Service is also governed by Centage's Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how Centage collects, uses, stores, and protects your personal information, including your rights under applicable state and federal privacy laws. By using the Service, you consent to the data practices described in the Privacy Policy.
16. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CENTAGE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY DATA, INFORMATION, OR CONTENT DISPLAYED WITHIN THE SERVICE;
- WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- WARRANTIES THAT DEFECTS IN THE SERVICE WILL BE CORRECTED.
CENTAGE DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF DATA RECEIVED FROM CONNECTED BROKER ACCOUNTS. MARKET DATA AND TRADING DATA MAY BE DELAYED, INACCURATE, OR SUBJECT TO ERROR. YOU SHOULD INDEPENDENTLY VERIFY ALL DATA BEFORE MAKING ANY TRADING DECISIONS.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CENTAGE TRADING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE TO YOU FOR:
- ANY TRADING LOSSES, MISSED TRADING OPPORTUNITIES, DRAWDOWNS, OR FINANCIAL HARM OF ANY KIND ARISING FROM YOUR USE OF THE SERVICE, INCLUDING USE OF EXECUTE MODE;
- ANY BROKER ACTIONS, BROKER OUTAGES, BROKER API FAILURES, OR TRADE EXECUTION FAILURES ON THE BROKER'S SYSTEMS;
- ANY LOSS OR DAMAGE ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR ACCOUNT;
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS.
IN NO EVENT WILL CENTAGE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO CENTAGE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100.00 (ONE HUNDRED U.S. DOLLARS), WHICHEVER IS GREATER.
These limitations apply regardless of the theory of liability — whether in contract, tort (including negligence), strict liability, or otherwise — and even if Centage has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Centage's liability is limited to the maximum extent permitted by law.
18. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Centage Trading LLC and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service, including your use of Execute Mode.
- Your violation of these Terms.
- Your violation of any applicable law or regulation, including securities, commodities, or financial regulations.
- Your violation of any broker's terms of service.
- Your broker connections and the trading activity on your connected accounts.
- Any content or data you submit to the Service.
- Any third-party claim arising from your conduct in connection with the Service.
19. TERMINATION
19.1 Termination by You
You may terminate your account at any time by contacting Centage at info@centagetrading.com or using the account deletion feature within the Service. Termination does not entitle you to a refund of any prepaid subscription fees.
19.2 Termination by Centage
Centage reserves the right to suspend or terminate your account, with or without notice, for any of the following reasons:
- Violation of these Terms or any applicable law.
- Suspected fraudulent, abusive, or harmful activity.
- Non-payment of subscription fees.
- Any reason Centage deems necessary to protect the security, integrity, or interests of the Service or its users.
19.3 Effect of Termination
Upon termination for any reason: (a) your right to access and use the Service immediately ceases; (b) Centage may delete your account and personal data in accordance with the Privacy Policy; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8, 11, 16, 17, 18, 20, 21, and 22.
20. DISPUTE RESOLUTION — BINDING ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
20.1 Informal Dispute Resolution
Before initiating any formal dispute proceeding, you agree to first contact Centage in writing at info@centagetrading.com to describe the nature of the dispute and the relief sought. Centage will attempt to resolve the dispute informally within 30 days of receipt of your notice. If the dispute is not resolved within that 30-day period, either party may proceed to arbitration as described below.
20.2 Binding Arbitration
Except as set forth in Section 20.4, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Centage — including claims under contract, tort, statute, or equity — shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules in effect at the time the arbitration is filed, as modified by these Terms.
The arbitration shall be conducted in Texas unless the parties agree otherwise in writing. The arbitrator shall apply the substantive law of the State of Texas, without regard to its conflict-of- laws principles. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
20.3 CLASS ACTION WAIVER
YOU AND CENTAGE EACH AGREE THAT ANY PROCEEDING TO RESOLVE A DISPUTE WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST CENTAGE.
20.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits, and either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights, unauthorized access to the Service, or other imminent irreparable harm.
20.5 Arbitration Fees
Arbitration fees and costs shall be allocated in accordance with the AAA Consumer Arbitration Rules. Centage will pay AAA filing and administrative fees for claims under $10,000, unless the arbitrator finds the claim to be frivolous or brought in bad faith.
21. GOVERNING LAW AND JURISDICTION
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. To the extent that any dispute is not subject to arbitration under Section 20, you consent to the exclusive jurisdiction of the state and federal courts located in Texas for the resolution of such disputes.
22. CHANGES TO THESE TERMS
Centage reserves the right to modify these Terms at any time. For material changes, Centage will provide at least 30 days' advance notice to registered users via email to the address associated with their account. For non-material clarifications or corrections, Centage may update these Terms without advance notice.
The effective date of the current version of these Terms is displayed at the top of this document. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms.
23. GENERAL PROVISIONS
23.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Centage with respect to the Service and supersede all prior or contemporaneous agreements, representations, or understandings.
23.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
23.3 Waiver
Centage's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
23.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Centage's prior written consent. Centage may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.
23.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
23.6 Force Majeure
Centage is not liable for any failure to perform its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, acts of government, network outages, third-party service failures, cyberattacks, or other events of force majeure.
